    • Service Agreements and Deliverables

    For custom IT projects, SEO campaigns, or digital marketing services, specific terms, deliverables, and timelines will be outlined in a separate Service Agreement or Proposal signed by both parties. In the event of any conflict between these Terms and an individual Service Agreement, the Service Agreement shall prevail.

    Payments and Billing

    Fees for our Services will be outlined in your proposal or Service Agreement. You agree to pay all fees on the schedule specified. Failure to make timely payments may result in suspension or termination of Services. All payments are non-refundable unless otherwise specified in writing.

    Intellectual Property

    Unless otherwise agreed upon in writing:

  • Code Nestio retains ownership of all pre-existing intellectual property, tools, software, and processes used to deliver the Services.
  • Custom software, websites, and marketing materials developed specifically for you may be transferred to your ownership upon full payment, as outlined in the Service Agreement.
  • You grant Code Nestio a non-exclusive, royalty-free license to use your provided content (e.g., logos, trademarks, images) solely for the purpose of delivering Services.
    • Confidentiality

    Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of providing Services. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

    Disclaimers

    While we strive to deliver effective IT, SEO, and digital marketing solutions, we do not guarantee specific outcomes, such as top search engine rankings or a particular return on investment. Our Services are provided on an "as is" and "as available" basis.

    Limitation of Liability

    To the maximum extent permitted by law, Code Nestio shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or data) arising out of or related to your use of our Services, even if we have been advised of the possibility of such damages.

    Termination

    We may suspend or terminate your access to the Services at any time if you breach these Terms or any applicable Service Agreement. You may also terminate our engagement in accordance with the terms specified in your Service Agreement.

    Modifications to Terms

    We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Services constitutes your acceptance of the revised Terms.
